1. Acceptance of terms
These Terms of Service ("Terms") govern your access to and use of Social Media Reply Manager ("the Service"), provided by Schematix AI ("Schematix", "we", "us", "our"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. The Service
The Service lets you connect third-party social media accounts and configure automation rules that respond to platform events (comments, mentions, direct messages, story mentions, shares) on your behalf. The Service is provided on a subscription basis with a free tier subject to usage limits set out in your account.
3. Eligibility and accounts
You must be at least 16 years old (or the age of digital consent in your jurisdiction) and able to enter into a binding contract. You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activity that occurs under your account.
- Ensuring the social platform accounts you connect are yours, or that you have explicit authorization from the account owner to operate them.
- Keeping the contact email on your account current so we can reach you about the Service.
Notify us immediately at support@schematixcorp.com if you suspect unauthorized access.
4. Acceptable use
You agree not to use the Service to:
- Send spam, unsolicited bulk messages, or any communication prohibited by anti-spam laws (e.g. CAN-SPAM, GDPR, ePrivacy).
- Violate the terms of service or platform policies of any social network you connect (including Meta Platform Terms, TikTok Developer Terms, etc.).
- Impersonate any person or entity, or misrepresent your affiliation with anyone.
- Harass, threaten, or harm others; promote illegal activity; or distribute malware.
- Reverse engineer, scrape, or attempt to access non-public parts of the Service.
- Interfere with or disrupt the Service, its servers, or the third-party APIs it uses.
You are solely responsible for the content of the messages and actions your automation rules generate. We may suspend or terminate accounts that violate this section.
5. Third-party platforms
The Service interacts with third-party platforms (Meta, TikTok, and others). Your use of those platforms through the Service is also governed by their respective terms and policies. We are not responsible for changes a third-party platform makes to its API, rate limits, or policies that affect the Service's functionality.
6. Subscriptions, billing, and cancellation
Paid plans are billed through Stripe in the currency listed at checkout. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. Prices, plan limits, and the rule cap that applies to your account are shown in your dashboard and on the Plans page.
You may cancel a subscription at any time from your account. On cancellation, paid features remain available until the end of the current billing period; we do not pro-rate refunds for partial periods unless required by law. Existing automation rules created under a paid plan remain in your account; new rules created after cancellation are subject to the free-tier rule cap.
We may change prices on notice; price changes apply to your next billing period after the notice.
7. Your content and license to operate it
You retain ownership of the content you provide to the Service, including rule configurations, message templates, and any data generated by your connected platforms. You grant Schematix a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display that content solely to operate the Service for you.
You represent that you have all rights necessary to grant this license and that your content does not infringe any third-party rights.
8. Our intellectual property
The Service, including its software, user interface, branding, and documentation, is owned by Schematix and protected by intellectual property laws. These Terms do not grant you any right to our trademarks or to redistribute the Service.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT EVERY AUTOMATED REPLY WILL BE DELIVERED ON TIME OR AT ALL.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCHEMATIX, ITS AFFILIATES, AND ITS PERSONNEL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF (OR INABILITY TO USE) THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) USD 100.
11. Indemnification
You agree to indemnify and hold harmless Schematix and its personnel from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your use of the Service, your content, your violation of these Terms, or your violation of any third-party rights or applicable law.
12. Suspension and termination
We may suspend or terminate your access to the Service if you breach these Terms, if your use poses a security risk to the Service or others, if a third-party platform requires us to do so, or if required by law. You may stop using the Service and delete your account at any time.
Sections that by their nature should survive termination (including payment obligations, disclaimers, limitations of liability, indemnification, and governing law) survive termination.
13. Changes to the Terms
We may update these Terms from time to time. When we make material changes we will update the effective date and, where required, notify you by email or in-product notice. Continued use of the Service after a change indicates your acceptance of the updated Terms.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any dispute arising out of these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you and Schematix consent to personal jurisdiction there.
